By accessing or using our website at conversioncore.ai, CRM platform, Realtor Automation services, AI Agent services, or any related services, including SMS/text messaging services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By using our Services, you represent and warrant that you meet these requirements. If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Description of Services

ConversionCore.AI provides the following services:

• CRM Platform: A customer relationship management platform with lead management, multi-channel messaging (SMS, email, voicemail), pipeline management, automation workflows, analytics, and reporting.
• Realtor Automation & Lead Revival: An automated lead generation service for real estate professionals that includes MLS board integration, expired and withdrawn listing extraction, skip tracing, and multi-channel outreach sequences via SMS, email, voicemail, and AI calling.
• AI Agents: AI-powered automation tools including AI Calling Agents, AI Digital Agency, AI Sales Agents, and custom automation workflows.

4. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. SMS/Text Messaging Terms

By providing your mobile phone number and consenting to receive text messages from ConversionCore.AI, you agree to the following terms:

5.1 Consent to Receive Messages

By opting in to our SMS program, you expressly consent to receive recurring automated SMS/MMS text messages from ConversionCore.AI at the mobile number you provided. Consent is not a condition of any purchase.

5.2 Types of Messages

Messages may include:

• Service notifications and account updates
• Appointment confirmations and reminders
• Lead alerts and follow-up communications
• Promotional offers and marketing messages
• Security alerts and verification codes

5.3 Message Frequency

Message frequency varies. You may receive multiple messages per day depending on your account activity, subscribed services, and communication preferences.

5.4 Message and Data Rates

Message and data rates may apply. Please consult your wireless carrier for pricing details related to your messaging plan. You are solely responsible for any charges incurred from your wireless carrier.

5.5 Opt-Out

You may opt out of receiving text messages at any time by texting STOP to any message received from us. Upon receipt of your STOP request, we will send a one-time confirmation message and remove you from our messaging list. You will no longer receive SMS messages from us unless you re-subscribe.

5.7 Supported Carriers

Our SMS program is supported by major U.S. wireless carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carriers are not liable for delayed or undelivered messages.

5.8 No SMS Data Sharing

We will not sell, rent, or share your mobile phone number or any information collected through our SMS program with third parties for their marketing purposes. Your SMS opt-in data and consent will not be shared with any third parties.

6. Payment Terms

Certain Services require payment of fees. By subscribing to a paid plan, you agree to the following:

• All fees are billed on a monthly recurring basis unless otherwise stated
• You authorize us to charge the payment method on file for all applicable fees
• Fees are non-refundable unless otherwise specified or required by law
• We reserve the right to change pricing with 30 days' prior notice
• Failure to pay may result in suspension or termination of your account

7. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable federal, state, local, or international law or regulation
• Send unsolicited or unauthorized spam, bulk messages, or promotional material
• Violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable messaging and communication laws
• Harass, abuse, threaten, or intimidate any person
• Transmit any viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems, servers, or networks
• Interfere with or disrupt the integrity or performance of our Services
• Use our Services for any fraudulent, deceptive, or illegal purpose
• Collect or harvest personal information of others without proper consent
• Send messages to individuals who have not provided prior express consent

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and the overall design and layout, are the exclusive property of ConversionCore.AI and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Services without our prior written consent.

9. TCPA Compliance

ConversionCore.AI operates in compliance with the Telephone Consumer Protection Act (TCPA) and all applicable federal and state telecommunications regulations. By using our Services that involve outbound communications (SMS, voice calls, voicemail), you represent and warrant that:

• You have obtained proper prior express written consent from all recipients before sending them any marketing or promotional messages through our platform
• You will honor all opt-out requests promptly
• You will maintain accurate records of consent
• You will comply with all applicable Do-Not-Call regulations
• You will not use our Services to send messages to numbers on the National Do-Not-Call Registry without proper consent

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERSIONCORE.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE OUR SERVICES.

12. Indemnification

You agree to indemnify, defend, and hold harmless ConversionCore.AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of our Services, your violation of these Terms, or your violation of any rights of a third party, including but not limited to TCPA violations resulting from your use of our messaging Services.

13. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. All plans are month-to-month unless otherwise stated. You may cancel your subscription at any time by contacting us.

Upon termination, your right to use our Services will immediately cease. We may delete your account data after a reasonable retention period following termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which ConversionCore.AI operates, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in that jurisdiction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after the posting of changes constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
